1. Acceptance of these terms
These Terms of Use ("Terms") are an agreement between you and Vairo Systems LLC ("ProfitMineAI," "we," "us," or "our"). By using this website, submitting a supplier list, or joining the early-access program, you agree to these Terms and acknowledge our Privacy Policy. If you are using ProfitMineAI on behalf of a business, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that business. If you do not agree, please do not use the service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use ProfitMineAI. The service is intended for business and professional use by Amazon sellers, wholesale and online arbitrage businesses, and sourcing teams. You may not use the service if you are barred from doing so under applicable law.
3. Early-access service description
ProfitMineAI is being developed as a platform to help sellers analyze supplier product lists, estimate Amazon fees, margins, and return on investment, and flag potential sourcing risks. The full product is not yet available. During early access, the service consists of accepting your email address and supplier CSV file, storing them securely, confirming receipt, preparing an analysis report of up to 500 products from your file, and sending it to you by email together with next steps. Early-access reports are free, are prepared on a best-effort basis without a guaranteed delivery time, and contain estimates only (see Sections 10 and 11). Any analysis, sample report, or feature described on this website as planned, in development, or illustrative is not a commitment to deliver that feature, on any timeline.
The early-access analysis is free and does not require payment information. Any future paid plans will be offered under separate terms that you would need to accept.
4. No guaranteed availability
The early-access service is provided on an experimental basis. We do not guarantee that the service, or any particular feature, will be available, uninterrupted, error-free, or launched at all. We may limit the number of participants or decline any submission at our discretion.
5. Permitted use
Subject to these Terms, you may use the website and early-access service for your internal business purposes of evaluating products for sale. You are responsible for your use of the service and for any decisions you make based on it.
6. Your responsibility for uploaded content
You are solely responsible for the files and information you submit ("Your Content"). By uploading Your Content, you represent and warrant that:
- you have the rights and authorization to upload and share it with us for the purposes described in these Terms, including under any confidentiality or non-disclosure obligations you have with your suppliers;
- it does not infringe or misappropriate anyone's intellectual property, trade secrets, or other rights;
- it does not contain personal information about individuals (other than business contact details where unavoidable), payment card data, passwords, or other sensitive information; and
- it does not contain malware or any harmful code.
7. Ownership of your data and our limited license
You keep ownership of Your Content. You grant us a limited, non-exclusive, worldwide, royalty-free permission to host, store, copy, process, and analyze Your Content only as needed to provide the service you requested, to communicate with you about it, to maintain security, and to evaluate and develop ProfitMineAI. We will not sell Your Content or share it with other users. This permission ends when Your Content is deleted from our systems, except for residual copies as described in our Privacy Policy.
We may create and use aggregated or de-identified information derived from use of the service (for example, statistics about common file formats) that does not identify you or your suppliers.
8. Prohibited activity
You agree not to:
- upload content you don't have the right to share, or content that is unlawful, harmful, or deceptive;
- upload malware or attempt to exploit vulnerabilities in the service;
- interfere with, overload, or disrupt the service, or bypass rate limits, spam protection, or security measures;
- attempt to access data, files, or systems that don't belong to you;
- use automated means to submit forms or scrape the website, except as permitted by us in writing;
- reverse engineer, copy, or create derivative works of the service, except as permitted by law;
- use the service to build a competing product; or
- use the service in violation of any law or of any marketplace's policies that apply to you.
9. Intellectual property
The website, the ProfitMineAI name and logo, the design, text, graphics, software, and all related intellectual property are owned by us or our licensors and are protected by law. Except for the limited rights expressly granted in these Terms, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.
10. No guarantee of profit or business performance
ProfitMineAI does not guarantee that any product will be profitable, that you will achieve any particular margin, return, sales volume, or business result, or that using the service will improve your business. Selling on Amazon and other marketplaces involves risk, including the risk of losing money on inventory. All purchasing and business decisions are yours alone, and you should do your own research and, where appropriate, consult qualified advisors. Nothing provided by ProfitMineAI is financial, investment, legal, or tax advice.
11. Disclaimer regarding estimates
Any Amazon FBA fees, referral fees, selling prices, profit, margin, ROI, sales, demand, risk indicators, ratings, or other figures shown or provided by ProfitMineAI are estimates. They may be based on incomplete, delayed, or inaccurate data and on assumptions that may not apply to you. Marketplace fees, prices, and policies change frequently. Estimates are not predictions or promises of actual results, and they may be wrong. You should verify all figures independently before making any purchasing decision. Sample data and dashboards shown on this website are illustrative only and do not represent real products or results.
12. Third-party platforms and data accuracy
The service may reference or rely on information from third-party platforms, data providers, or your suppliers. We don't control and are not responsible for third-party platforms, their data, availability, policies, or terms, and we don't guarantee the accuracy or completeness of third-party data. Your use of any third-party platform is governed by that platform's own terms.
13. No affiliation with Amazon
ProfitMineAI is an independent product and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. Amazon, FBA, and related marks are trademarks of Amazon.com, Inc. or its affiliates and are used only to describe the marketplace our product relates to. You are responsible for complying with Amazon's policies and agreements that apply to your seller account.
14. Service modification and termination
We may change, suspend, or discontinue the website, the early-access program, or any feature at any time, with or without notice. We may suspend or end your access if you violate these Terms or if we reasonably believe your use creates risk for us or others. You may stop using the service at any time and may ask us to delete your submission as described in our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Disclaimer of warranties
To the maximum extent permitted by law, the website and service are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the service will meet your requirements, be uninterrupted or secure, or that any estimates or information will be accurate or reliable.
16. Limitation of liability
To the maximum extent permitted by law, ProfitMineAI and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, inventory value, business, goodwill, or data, arising out of or relating to these Terms or the service, even if advised of the possibility of such damages. Our total liability for all claims relating to the service will not exceed the greater of the amounts you paid us for the service in the twelve months before the claim or one hundred U.S. dollars (US$100).
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, or for death or personal injury caused by negligence.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless ProfitMineAI from claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the service, or your violation of these Terms or of any third party's rights.
18. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the service will be resolved in the courts located in the State of Wyoming, USA, unless applicable law gives you the right to bring proceedings where you live. If you are a consumer, nothing in these Terms affects your mandatory statutory rights.
19. Changes to these terms
We may update these Terms from time to time. We will change the "Last updated" date and version above and, for material changes, provide additional notice where appropriate. Continued use of the service after changes take effect means you accept the updated Terms. Each submission records the Terms version you accepted.
If any provision of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the early-access service.
